SWP Completes Agricore PurchaseWINNIPEG - Jun 15/07 - SNS -- The Saskatchean Wheat Pool (SWP) completed its acquisition of Agricore United after the Court of Queen's Bench of Manitoba issued the final order approving its acquisition of all of the outstanding limited voting common shares of Agricore not already owned by the Pool and the redemption by Agricore of each outstanding Series A convertible preferred share of Agricore not already owned by the Pool. Holders of Common Shares whose shares have been acquired under the arrangement will receive $20.50 in cash for each Common Share. Holders of Preferred Shares whose shares have been redeemed under the arrangement will receive $24.00 in cash plus accrued and unpaid dividends for each Preferred Share. Pursuant to the arrangement, the Pool has acquired an additional 8,989,497 Common Shares, representing approximately 14.9% of the outstanding Common Shares. As a result, the Pool now owns all of the outstanding Common Shares and Agricore is a wholly-owned subsidiary of the Pool. A total of 510,754 Preferred Shares were redeemed by Agricore pursuant to the arrangement. The Common Shares and Preferred Shares will soon be delisted from and will no longer be traded on the Toronto Stock Exchange. Agricore intends to apply to cease to be a reporting issuer under applicable Canadian securities laws in each of the jurisdictions in which it is currently a reporting issuer.
